Terms of Service

Article 1 (General Provisions)

  1. These Terms of Service (hereinafter "these Terms") set forth the conditions governing the use of SimpleQueue (hereinafter "the Service").
  2. The operator of the Service (hereinafter "the Operator") shall have the authority to determine, at its sole discretion, all matters relating to the provision, operation, and management of the Service.
  3. Users shall use the Service upon agreeing to these Terms, and use of the Service shall constitute acceptance of these Terms.

Article 2 (Definitions)

The following terms used in these Terms shall have the meanings set forth below.

  1. "The Service" refers to the queue management service "SimpleQueue" provided by the Operator and all ancillary services associated therewith.
  2. "User" refers to any individual or entity that uses the Service upon agreeing to these Terms.
  3. "Tenant" refers to the management unit, such as a store or business location, created by the User within the Service.
  4. "Credits" refers to the prepaid usage units issued by the Operator for payment of Service usage fees.
  5. "Content" refers to all data, text, images, and other information posted, transmitted, or stored by the User through the Service.

Article 3 (Conditions of Use)

  1. Persons wishing to use the Service must be at least 18 years of age. Persons under 18 may not use the Service.
  2. Users shall provide accurate and current information at the time of account registration and shall promptly update such information if any changes occur.
  3. Users shall bear full responsibility for the management of their account and password. The Operator shall not be liable for any damages arising from unauthorized use of an account.
  4. Each User may hold only one account. However, this restriction shall not apply where the Operator has given separate approval.

Article 4 (Fees and Payment)

  1. The Service operates on a credit-based system, and Users may access certain features of the Service by purchasing credits in advance.
  2. Credit purchases are processed through Stripe. Users agree to Stripe's terms of service in addition to these Terms.
  3. Purchased credits are non-refundable under any circumstances. This includes, but is not limited to, cancellation at the User's discretion, account suspension or deletion, and changes to, interruption of, or termination of the Service.
  4. The Operator reserves the right to change credit prices at any time. Price changes shall apply to credits purchased after the change takes effect and shall not affect previously purchased credits.
  5. Unused credits may be subject to an expiration period. Credits that have passed their expiration date shall be forfeited and are not eligible for refund.

Article 5 (Prohibited Conduct)

Users shall not engage in any of the following conduct:

  1. Conduct that violates applicable laws or public order and morals
  2. Conduct related to criminal activity
  3. Conduct that destroys or interferes with the functionality of the Service's servers or networks
  4. Conduct that interferes with or may interfere with the operation of the Service
  5. Collecting, storing, or using personal information of other Users
  6. Impersonating another User
  7. Providing benefits, directly or indirectly, to antisocial forces in connection with the Service
  8. Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Service
  9. Transferring, lending, or reselling accounts, credits, or other service usage rights to third parties
  10. Reselling, redistributing, sublicensing, or otherwise commercially exploiting the Service (unless separately authorized by the Operator)
  11. Accessing the Service through automated scripts, bots, or other means (except for legitimate use of APIs provided by the Operator)
  12. Any other conduct deemed inappropriate by the Operator

Article 6 (Modification, Suspension, and Termination of the Service)

  1. The Operator may modify, add to, or discontinue all or part of the Service without prior notice to Users.

    • When performing maintenance, inspection, or updates to the systems related to the Service
    • When provision of the Service becomes difficult due to earthquake, lightning, fire, power outage, natural disaster, or other force majeure events
    • When servers or communication lines are disrupted due to an incident
    • When the Operator otherwise determines that provision of the Service is impracticable
  3. In the event the Operator terminates the Service, the Operator shall endeavor to provide Users with reasonable advance notice; provided, however, that this shall not apply in cases of emergency or other unavoidable circumstances.
  4. The Operator reserves the right to delete User data following termination of the Service. The Operator assumes no obligation to preserve such data.
  5. The Operator shall not be liable for any damages incurred by Users as a result of any modification, suspension, or termination of the Service pursuant to this Article.

Article 7 (Disclaimer of Warranties)

  1. The Service is provided on an "AS IS" basis, and the Operator makes no warranties, express or implied, regarding the accuracy, completeness, usefulness, fitness for a particular purpose, security, absence of errors, correction of defects, or any other matter relating to the Service.
  2. The Operator shall not be liable for any damages incurred by Users arising from the Service, except in cases of willful misconduct or gross negligence on the part of the Operator.
  3. In no event shall the Operator be liable for indirect, special, incidental, or consequential damages, lost profits, loss of business opportunities, loss of data, or similar damages, even if the Operator has been advised of the possibility of such damages.
  4. The Operator's total liability for damages under these Terms shall be limited to the total amount of usage fees paid by the User to the Operator during the one-month period immediately preceding the month in which such damages occurred.
  5. The Operator shall not be liable for any disputes arising between Users and third parties in connection with the Service.

Article 8 (Data and Intellectual Property Rights)

  1. Ownership and intellectual property rights in data stored by the User in the Service (hereinafter "User Data") shall remain with the User.
  2. The User grants the Operator a non-exclusive license to use User Data (including reproduction, modification, display, and similar uses) to the extent necessary for the provision, operation, and improvement of the Service.
  3. All copyrights, trademark rights, patent rights, and other intellectual property rights relating to the Service belong to the Operator or third parties with legitimate rights thereto.
  4. The license to use the Service granted under these Terms does not constitute a transfer of, or license to use, any intellectual property rights of the Operator relating to the Service.

Article 9 (Account Suspension and Deletion)

    • The User has violated any provision of these Terms
    • False information is found in the User's registration details
    • The User has failed to fulfill payment obligations for fees or other charges
    • The User has failed to respond to communications from the Operator for a specified period
    • The User has not used the Service for a specified period
    • The Operator otherwise determines that the User's use of the Service is inappropriate
  2. In the event of account suspension or deletion pursuant to the preceding paragraph, no refunds shall be issued, including for unused credits.
  3. The Operator shall not be liable for any damages incurred by Users as a result of account suspension or deletion pursuant to this Article.

Article 10 (Amendments to These Terms)

  1. The Operator may amend these Terms at any time at its discretion.
  2. Amended Terms shall take effect upon being posted on the Service by the Operator.
  3. If a User continues to use the Service after these Terms have been amended, the User shall be deemed to have agreed to the amended Terms.

Article 11 (Governing Law and Jurisdiction)

  1. These Terms shall be governed by and construed in accordance with the laws of Japan.
  2. Any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
